(“Roddy”), on behalf of the owner (“Owner”) of 355 N Main St, Manahawkin, Stafford Twp, Ocean County, NJ 08050 (the “Property”), has agreed to provide theundersigned (whether one or more “Recipient”) with certain confidential information concerning the Property, which is not generally available to the public. Such information mayinclude, without limitation, leases, various studies and reports, legal documents, and records containing or reflecting information concerning the Property, and other material whetherprepared by Owner, Roddy, or others, and includes photocopies or other reproductions of any such information (all of the aforementioned information is collectively referred to hereinas the “Confidential Material”). Notwithstanding the foregoing, for the purpose of this Agreement the following will not constitute Confidential Material:(a) information which is generally available to the public other than as a result of a disclosure by Recipient; and(b) information which is available to Recipient from a source (other than Roddy or Owner) not known by Recipient to be subject to any confidentiality agreement or anyprohibition against transmitting such information to Recipient.It is acknowledged that any disclosures of the Confidential Material or use of the same by Recipient, except for the express purpose of reviewing the same for the possible purchase ofthe Property, can and will involve serious harm or damage to the Property, its owner, and proprietors. Owner and Roddy are prepared to furnish the Confidential Material to Recipienton the following conditions:1. Recipient understands and acknowledges that the Owner and Roddy make no representation or warranty as to the accuracy or completeness of the Confidential Materialand that the Owner and Roddy expressly disclaim any and all liability for representation or warranties, expressed or implied, contained in or omitted from the ConfidentialMaterial. Recipient agrees that the Owner and Roddy shall not have any liability resulting from Recipient’s use of, or reliance upon, the Confidential Material.2. Recipient agrees to treat the Confidential Material confidentially and to not make any of the Confidential Material available, or disclose any of the contents of theConfidential Material, to any corporation, partnership, firm, association, government, joint venture, trust, estate or individual (“Person”) unless prior to doing so:(i) Owner has notified Recipient in writing of its approval of such Person and the material to be provided to it; and(ii) Recipient and such Person have entered into a confidentiality agreement substantially in form of this Agreement.3. The Confidential Material will not be used or duplicated by Recipient in any way detrimental to Owner or for any purpose other than in connection with its activities withrespect to the evaluation of the Property. Recipient shall return the Confidential Material to the Owner forthwith upon Owner’s request.4. Recipient agrees not to contact the tenants, leasing brokers or property management staff of the Property or any portion thereof in connection with Recipient’s review ofthe Confidential Information. Co-Broker agrees that it will not advertise the Property for sale or, otherwise, publicize any Proposed Sale without first obtaining the priorwritten approval of the Owner and Roddy.5. No failure or delay by Owner in exercising any right, power or privilege hereunder shall operate as a waiver thereof nor preclude any other or future exercise thereof orthe exercise of any right, power or privilege hereunder.6. Recipient is advised that Roddy is acting on behalf of Owner in connection with the sale of the Property. Should the Recipient elect to have representation by a Co-Broker,Recipient hereby agrees that any fees earned by or owed to any Co-Brokers in connection with any sale of the Property or any portion thereof to Recipient or its affiliatewill be paid by Recipient, and Owner and Roddy shall have no liability for any such fees of Co-Broker. Recipient and Co-Broker agree to defend, indemnify and holdharmless Roddy, Owner and their respective affiliates, successors and assigns, employees, officers and directors against and from any loss, liability or expense, includingreasonable attorney’s fees, arising out of any claim or claims by Co-Broker, finder or any similar agent for commissions, fees or other compensation except as agreed herein,for bringing about any sale of the Property or any portion thereof to Recipient or its affiliate.7. This Agreement shall be governed by, and construed in accordance with, the laws of the State of New Jersey.Please sign below and return this Agreement to the undersigned to indicate that you have agreed to be bound strictly by the foregoing conditions and that you acknowledge that youragreement to do so constitutes a material inducement to Owner to furnish the Confidential Material to you.Sincerely,RODDY INC.Francis T.
