(“CW”) has prepared a confidentialinvestment memorandum (the “Memorandum”), which may be provided to you, subject to the following conditions, for your limited use to determinewhether you wish to express an interest in the Transaction, defined as the purchase of 2000 Corporate Ridge Road (the “Property”).You hereby acknowledge that you are acting as a principal or an investment advisor in connection with the possible Transaction and agree that you willnot look to the Owner or CW for any fees or commissions in connection with the Transaction. You hereby agree to indemnify the Owner and CWagainst any compensation, liability or expense arising from claims by any broker or other party with whom you have had dealings (excluding CW) inconnection with the Transaction. CW and the Owner, and their respective shareholders, members, partners and/or employees, will not be responsiblefor any compensation to any agent, broker or advisor. No agent, broker or advisor is authorized to offer the Transaction without prior writtenauthorization from CW.The Memorandum, the contents thereof, and any other information which may be provided with respect to the Property, except such informationwhich is a matter of public record or is provided in sources available to the public (such contents, as so limited, are herein collectively called the“Contents”), are of a confidential nature. By your execution of this Agreement, you agree that you will hold and treat the Memorandum and theContents in the strictest confidence, that you will not photocopy or duplicate the Memorandum, the Contents or any part thereof, that you will notdisclose the Memorandum or any of the Contents to any other person or entity (except for your employees, contractors, consultants and attorneysretained by you, if necessary, in your opinion, to assist in your determination of whether or not to make a proposal) without the prior authorization ofthe Owner or CW, and you shall be responsible for any failure of any party to whom you disclose the Memorandum or any of the Contents to keepthe Memorandum or the Contents confidential.The Memorandum does not purport to provide a complete or fully accurate summary of the Property or any of the documents related thereto, nor dothey purport to be all-inclusive or to contain all of the information which prospective investors may need or desire. All financial projections are basedon assumptions relating to the general economy, competition and other factors beyond the control of the Owner and, therefore, are subject to materialvariation. The Memorandum does not constitute an indication that there has been no change in the business or affairs of the Property or the Ownersince the date of preparation of the Memorandum. Neither the Owner, nor CW, nor any of their respective affiliates, nor any of their respectivepartners, members, officers, agents or principals has made or will make any representations or warranties, express or implied, as to the accuracy orcompleteness of the Memorandum or any of the Contents, and no legal commitment or obligation shall arise by reason of the Memorandum or theContents. Analysis and verification of the information contained in the Memorandum and of the Contents is the sole responsibility of the prospectiveinvestor, and the Transaction will occur on an as-is, where-is basis without any representations including, but not limited to the environmental conditionof the Property.Without the prior written consent of Owner, which consent may be withheld in Owner’s sole and absolute discretion, you agree (and shall cause yourrepresentatives) not to communicate with any of the following Owner parties related to the Property: tenants, property management and engineeringstaff, Owner’s lender, and any consultant working on behalf of the Owner regarding the Property (the “Owner Parties”).Additional information and an opportunity to inspect the Property may be made available to interested and qualified prospective investors. Allarrangements for inspections will be made through CW, and local management of the Property should not be contacted by a prospective investor, itsagents or designees.The Owner and CW expressly reserve the right, at their sole discretion, to reject any or all expressions of interest or offers and/or terminate discussionswith any entity at any time for any or no reason with or without notice. The Owner has no legal commitment or obligation to any entity reviewing theMemorandum or making an offer to finance the Transaction unless and until such Transaction is approved by the Owner in its sole discretion and awritten agreement for the Transaction has been fully executed, delivered and approved by the Owner and its legal counsel, and any conditions to theOwner's obligations thereunder have been satisfied or waived.You will not use the Memorandum or any of the Contents in any fashion or manner detrimental to the interest of the Owner or CW. Should you notpursue this Transaction, you will promptly return the Memorandum and all of the Contents. You agree to indemnify and hold harmless Owner, CW,each of their respective representatives, and the respective affiliates, successors and assigns of the Owner, CW and each of their respectiverepresentatives against and from any loss, liability or expense, including reasonable attorney’s fees, arising out of any breach of any of the terms of thisAgreement. This Agreement constitutes the entire agreement among the parties hereto and may not be amended or otherwise altered except by themutual written agreement of you and Owner.
