INVESTMENT HIGHLIGHTS
•$2,200,000 Mortgage Note made by United Candy & Tobacco Co., Inc., bearing interest at 1% per annum ($1,833.33 per month, interest only) with the entire principal balance due at maturity on June 1, 2029; prepayment of principal is prohibited and constitutes an Event of Default. The Note is secured by a first-lien Mortgage and Security Agreement encumbering the Property, which secures the Mortgagor’s obligations under the Note, the Ground Lease and the Agreement of Sale.
•Agreement of Sale granting the holder the right to acquire the fee interest in the Property for $2,200,001, with the full $2,200,000 Note balance credited against the purchase price at closing, on August 30, 2029 or any earlier date at the holder’s sole discretion; the deed is to be held in escrow pending closing. Under AOS §2.D, an additional $400,000 may be payable to Seller if the holder elects to accelerate Closing; bidders should review §2.D.
•The Property is a 0.23-acre (±10,054 SF) parcel with ±100 feet of frontage on Tonnelle Avenue (US Routes 1 & 9), located approximately 100 feet north of 74th Street within the ±1.32-acre Wawa site (merged Lot 66.02) redeveloped in 2022 as a Wawa convenience store and fuel station; the Wawa fuel canopy and pump area sit on the Property, which is subleased to Wawa, Inc.
•The fee is subject to a 99-year triple-net ground lease (2019), originally to Tonnelle North Bergen LLC; the leasehold estate is currently held by SB PB Tonnelle, L.L.C., an affiliate of the Secured Party, following foreclosure, and is not part of the Collateral. Ground rent is $22,000 per year for Lease Years 1–10 ($1,833.33 per month, equal to the Note interest); for Lease Years 11–99, beginning on or about May 1, 2029, rent is $1.00 per year if the fee owner is unable or unwilling to convey pursuant to the Agreement of Sale, and the lease does not state a rent for Years 11–99 if the fee is conveyed.
•North Bergen sits directly across the Hudson River from Manhattan, approximately three miles from the Lincoln Tunnel with direct access to I-95 (New Jersey Turnpike) and Route 495; Tonnelle Avenue is a major highway-commercial corridor with a Chick-fil-A on the adjoining lot and a Target- and Lowe’s-anchored center across the avenue.
